The company's five principal shareholders executed a letter of intent to
sell 10,000,000 shares of the company's 19,981,044 currently issued shares
to a group of investors principally in Vancouver. Concurrently with the
sale of the shares of Federal, the principal shareholders will purchase
from Federal all of the shares of its subsidiaries, namely Chem TECH
Environment Inc, 957263 Ontario Inc and Royal Canadian Energy Corp. The
closing of this transaction is subject to receiving all applicable
regulatory approvals and the entering into of a formal acquisition
agreement.
