IPO FILING-Energis files U.S. share offer
WASHINGTON, Nov 18 (Reuters) - Energis PLC, the young telecommunications arm of Britian's National Grid Group Plc (NGG.L) power transmission network, on Tuesday filed with U.S. regulators to register an offering of up to 75 million ordinary shares.
In a filing with the U.S. Securities and Exchange Commission, the company said the shares would be sold in the form of ordinary shares or American depositary shares, at a price ranging from $21.15 to $27.50 per ADS.
Dresdner Kleinwort Benson is the global coordinator for the offering. Underwriters, Dresdner Kleinwort Benson, Salomon Brothers Inc and UBS Securities, have an over-allotment option of up to 11.25 million ordinary shares.
According to the filing, the U.S. offering is part of a global offering of ordinary shares.
Proceeds from the sale will be used to pay outstanding debt to National Grid.
After the global offering, the company will have 149,700,599 ordinary shares outstanding.
