>From Company material:

" MEME is a communications company with a proprietary Wireless Internet
Access System
ready for market and is currently seeking capital with which to
commence Wireless Internet
Service Provider (ISP) operations in Baton Rouge, Louisiana; Dallas,
Texas, and an as-yet
unidentified city in the Southwestern U.S. MEME's proprietary Wireless
Internet Access
System operates within a broadcast signal in the 900 or 2400 MHz band
using two-way modems
outfitted with the antennae. Thus, MEME's Wireless Internet Access
System differs
substantially in design from the Wirelesss Internet access available
through cellular
telephones and differs substantially from traditional telephone-line
based ISP's, because
there is no reliance on hard wire to transfer data."

MEME ANNOUNCES WIRELESS INTERNET
MARKETING AGREEMENT

Baton Rouge, LA, December 5, 1997 - Media Entertainment, Inc.
(OTC BB: MEME) announced today that it has entered into a
marketing agreement with Baton Rouge's second largest Internet
Service Provider, Intersurf Online, Inc. Under the agreement with
Intersurf, Intersurf will market MEME's proprietary Wireless Internet
Access System, while MEME will provide the necessary equipment,
installation, customer support and maintenance for its Wireless
Internet Access system.

"We are quite pleased to have made this agreement with an
established Internet company," said David Loflin, MEME's President.
"We intend to target business customers who are in search of a more
affordable, highly reliable, and most of all, extremely fast connection
to the Internet," continued Mr. Loflin. Mr. Loflin also pointed out
that
MEME's proprietary Wireless Internet Access System offers its
customers signal encryption, which is designed to scramble its
broadcast signal, thereby offering a high degree of security of
information. Finally, Mr. Loflin stated that MEME expected Intersurf
to begin to market MEME's proprietary Wireless Internet Access
System to home-users, toward the end of the first quarter of 1998.

MEME's proprietary Wireless Internet Access System operates
within a broadcast signal in the 900 or 2400 MHz band using
two-way modems outfitted with an antenna. Thus MEME's Wireless
Internet Access System differs substantially in design from the
wireless internet access available through cellular telephones and
differs substantially from traditional telephone-line based ISPs,
because there is no reliance on hard wire to transfer data. MEME is
in need of additional capital to expand the exploitation of its
proprietary Wireless Internet Access system

MEME owns community (low power) television channels in four
U.S. cities, including an operating channel in Baton Rouge, Louisiana.
The other stations have not yet been constructed. Without additional
capital, no construction of these other stations will occur. MEME
also owns the rights to wireless cable channels in several U.S. cities,
with MEME's Poplar Bluff, Missouri, system being ready for
operations, pending MEME's obtaining capital to launch initial
marketing efforts there. The other markets have yet to be built-out.

WIRELESS INTERNET COMPANY GOES PUBLIC

Baton Rouge, LA, October 15, 1997 - Media Entertainment, Inc.
(OTCBB: MEME) announced today that its common stock had been
listed on the OTC Electronic Bulletin Board of the NASD under the
symbol MEME. MEME became publicly held via a distributive
registration (SEC File No. 333-26385) of its common stock. Shares
of MEME common stock were distributed as a dividend to the
shareholders of a publicly-held company.

MEME is a communications company with a proprietary Wireless
Internet Access System ready for market and is currently seeking
capital with which to commence Wireless Internet Service Provider
(ISP) operations in Baton Rouge, Louisiana; Dallas, Texas, and an
as-yet unidentified city in the Southwestern U.S. MEME's
proprietary Wireless Internet Access System operates within a

modems outfitted with antennae. Thus, MEME's Wireless Internet
Access System differs substantially in design from the Wirelesss
Internet access available through cellular telephones and differs
substantially from traditional telephone-line based ISP's, because
there is no reliance on hard wire to transfer data.

MEME's management believes that several features of MEME's
proprietary Wireless Internet Access System will be attractive to
potential business customers, including 1.) speed - during testing,
MEME's Wireless Internet Access System provided a minimum data
transmission speed of 64kbs, with data transmission speed capability
of up to the equivalent of a T-1 telephone line (that is, the data
transmission capability equivalent of 24 ISDN-telephone lines); 2.)
lower cost - it is expected that MEME's Wireless Internet Access
system will, depending on the particular market, offer ISDN
equivalent data transmission speed at a cost of 30% to 40% less than
hard-wire ISDN lines from the local telephone company; 3.)
encryption - MEME's Wireless Internet Access system is designed to
allow the encryption (scrambling) of its broadcast signal, offering a
high degree of security of information; 4.) mobility - MEME's
Wireless Internet Access System, as currently configured, allows the
user to access the Internet through a properly equipped lap-top
computer, even while in transit, and 5.) no local telephone company -
MEME's Wireless Internet Access System provides users Internet
access while eliminating the need for dealing with local telephone
companies.

The home-use applications of MEME's Wireless Internet Access
System include 1.) traditional Internet access at a cost that is
competitive with hard-wire ISP access costs and, within the next five
or so years, will include 2.) movies in real time, on demand, at any
time, a cyberspace video store, 3.) pay-per-view events, such as
concerts and sporting events, and 4.) "cable" television, that is, a
competitive offering of "cable" television channels that will equal
those
offered by any local cable television company. None of these
possible future services will be available unless and until MEME
secures adequate capital, of which there is no assurance
