Creative Bakeries to merge with Paramark

FAIRFIELD, N.J., Dec 7 (Reuters) - Creative Bakeries Inc. (OTC BB:CBAK - news) said Monday it has agreed to sign a letter of intent with Paramark Enterprises Inc. (OTC BB:TJCI - news) to acquire the company, formerly known as T.J. Cinnamons Inc.

Terms of the letter of intent were not disclosed.

''The proposed merger will create significant synergies and benefit the strength of each company, affording the opportunity of greater potential for the combined companies to penetrate markets for future product growth and acquisitions,'' said Phil Grabow, president and chief executive officer of Creative Bakeries.

The company said the merger is subject to both companies reaching a valuation agreement, as well as to approval by directors of both companies and their shareholders.

In September, Paramark sold its T.J. Cinnamons distribution rights and franchise agreements to Triarc Cos. Inc. (NYSE:TRY - news) for $4 million.
