Return to Intuit and the IBM/Banking Consortium

IBM has formed a joint venture company with several major banks.
I think this consortium could be formed to acquire INTUIT.
The advantages of acquiring Intuit, as I can see, are:

1. Intuit stock price is now depressed. Despite recent runup, it is still
way below its 52-week high.
2. The consortium can have a quick start without need to develop its own system.
3. Later the consortium can attract other banks to join by charging them fees or
by selling shares of the consortium.
4. There won't be any anti-trust problem.

I don't see any disadvantages.

Disclosure: I own some Intuit stocks.
