Datawave's proprietary technology -- the ability to conduct secure,
wireless transactions from thousands of unmanned kiosks conveniently
located for today's busy customer. After years of R&D, Datawave began
marketing its systems in October '95 and is now on the verge of
expanding its revenues dramatically. The company has forged strategic
alliances with industry leaders such as MCI Telecommunications, Ram
Communications and Cantel Cellular. Datawave's clients include Amtrak,
New York/New Jersey Port Authority, K-Mart, Denny's and Budget Rent-A-
Car, to name a few.

Datawave is positioned to dominate the exploding telecommunications
area of TeleCards (prepaid long-distance telephone cards) as well as
other products and services requiring real-time network transaction
processing such as prepaid cellular, personal communications systems
(PCS) and Smart Cards. The company already has over 500 Datawave
Telecard Machines (DTM) in place and revenues are growing rapidly to
exceed $225,000 per month as of March '96.

As indicated, Datawave is already generating revenues from its
operations, but this is only the beginning. Revenues are derived from
reselling long distance time, licensing and pocessing fees, DTM sales
and promotional or fund-raising programs. Revenues for fiscal 1996
ended March 31 were $1.75 million. Tom Kinakin (Stockline) expects
revenues for the next 12 months to exceed $15 million and reach more
than $30 million the following year. Kinakin indicates that earnings
will grow proportionately. He predicts EPS of $0.06 to $0.10 for
fiscal 1997 and an explosion to more than $0.30 in 1998 because of a
greater number of kiosks in place and wider acceptance of the product.

Kinakin recommends purchase of Datawave Vending Inc. below $1.50 Cdn.
His target is for $2 to $3 by the end of November/96 and climbing to
at least $6.00 over the next 2 years.
