Aden Enterprises Joins with Portland Travel Giant
E-commerce company brings Azumano Travel to the 'Net
OMAHA, Neb.--(BUSINESS WIRE)--April 9, 1999-- Aden Enterprises Inc. (OTC:ADEN - news) today announced an agreement which combines the company with Azumano Travel Service, a Portland, Oregon-based travel management company celebrating its 50th anniversary.
The agreement creates a new company that will capture a large share of the Internet travel market from its first day on the World Wide Web.
Under the terms of the agreement, Aden Enterprises will be renamed Azumano.com. Azumano is a retail travel services company with $125 million in annual travel sales. An Azumano affiliate, Pacific Gateway (PacificGateway.com), is an air consolidator travel company established in 1987 with major airline contracts such as United Airlines, Northwest, Delta, Continental and Japan Airlines.
Sho Dozono, president and CEO of Azumano and Pacific Gateway, will hold both positions and titles in Azumano.com. He will also become the new company's chairman.
''Combining with Aden Enterprises enables us to tap into their patented E-commerce technology and take our bricks-and-mortar travel agency into the 21st century,'' Dozono said. ''As we celebrate our 50th year in business, this is a truly historic moment for us and the icing on the Azumano Travel birthday cake. This transaction positions our strong regional company well to quickly become one of the world's largest Internet-based travel companies.''
''Our patented Internet technology, coupled with Azumano's fifty-year history and solid reputation in the industry, is a perfect fit,'' Mike Luther, Chairman of Aden Enterprises said. ''Their ability to fulfill the ever-growing demand on our Internet sites will allow us to serve our clients even better while our patented technology catapults the new combined company.''
Azumano Travel is a family-owned company founded in 1949 by George Azumano; Sho Dozono is Azumano's son-in-law and he carries the family tradition of quality service to the World Wide Web. Though a regional company, Azumano boasts many nationally recognized accounts including NASCAR, Sharp Computer, and the NBA's Portland Trail Blazers.
Aden is the exclusive travel services licensee of landmark Internet business process patents held by MercExchange LLC. MercExchange recently petitioned the US Patent and Trademark Office to cancel Priceline.com's later patent and award the online travel company's patent to MercExchange. The administrative action is ongoing.
Following the transaction, there will be 200 million Aden Enterprises shares or equivalents outstanding. Certain information above contains forward-looking statements that may involve risk and uncertainties. Aden Enterprises believes its expectations are based on reasonable assumptions. However, no assurances can be given that its goals will be achieved.
Factors that could cause actual results to differ materially include, but are not limited to, changes in federal, state and local regulations. Aden Enterprises is engaged in litigation associated with its Cheapfares.com travel website and currently serves its clients at Tripfares.com.
