Jacalyn,

I posted the list of Directors at the direct request of another BB member which is I believe the spirit in which these boards are supposed to operate.

As for posting all over the UK about you I can think of only one post on the ESI BB which is subscription only.

Quite a furore going on on the SI bb over there with allegations that
Robert Manning of Firecrest fame, Mike Langdon of HS bb and myself
supposedly being party to a transatlantic share scam involving the
creation of a false market for XSNI so that we can offload the
30million(yes 30 million) shares that we allegedly own in the company.

Apparently we got the OTC bb listing purely for this purpose.

Coincidentally there was a director of Firecrest that shares my
surname and I am now referred to as the Capper Brothers.

Firstly if anyone is following this discussion over there I would wish
to make it quite clear that there is NO TRUTH whatsoever in the story
and secondly I wish the poster was based in the UK as I would like to
serve a writ on the menopausal b*tch who is spreading these stories.

Apart from that I find it quite amusing.

It is well worth a read.

Not sure if this can be accessed.

Got mine, no restriction, very strange, especially after I
re-clarified the situation several weeks ago. However, my letter from
CS states 'I would stress that the process has been hindered by delays
in the US and negotiations between the companies on how and when
shares can be registered', I now wonder whether the restriction has
been lifted.

I will try and find out tomorrow.

The offer document from 1996 of the Superphone for Firecrest contains
the restriction s on dealing:

"Until a Registration Statement has been filed and become
effective(see page 12)the New SuperPhone shares will not be able to be
sold unless they have been held for a period of two years and even
then in a restricted manneras set out on Page 11 below." It then goes
on to state that the directors will file registration etc etc which of
course did not happen.

"Upon the issue of the New Super Phone shares and assumong the offer
is accepted in full Super Phone will have outstanding an aggregate of
15680061 Super Phone shares. Of such total number of outstanding
SuperPhone shares 3414880 will be freely tradeable without restriction
under the Securities Act except for any shares purchase by an
'affiliate' of Super Phone(Affiliate is defined in the Securities
Act). In addition the New Super Phone shares will be 'restricted
securities'for the purposes of Rule 144 of the Securities Act. Any
'restricted securities' as defined by Rule 144 acquired by an
affiliate may only be sold pursuant to a Registration Statement or an
applicable exemption from the registration requirements of the
Securities Act"

In general, under rule 144, a shareholder who has beneficially owned
restricted Super Phone shares for at least two years would be entitled
to sell, within any three month period, a number of shares that dioes
not exceed the greater of 1per cent of the then outstanding Super
Phone shares or the average weekly trading volume in the Super Phone
shares during the four calendar weeks preceeding the date on which
notice of such sale is given,provided certain maneer of sale
requirements and requirements as to the availability of current
public information about Super Phone are satisfied. A shareholder who
is not an affiliate and who has owned the shares for at least three
years will be able to sell his shares under Rule 144(k) without any
restriction.

Hope that clears matters up.

The certificates you refer to as having received - are these X Stream
certificates I assume? Were they to replace your Mega Com ones. I
also held Firecrest when the rot set in, and have a Mega Com share
certificate dated Jan 97 with the restriction on the back.

Any info gratefully received - look forward to hearing any updates.

I have e mailed X Stream, if I get any info I will post it.

Your MegaCom certificate is valid.

If you phone the registrars and ask for Stacey she will confirm that
you are on the register. I was able to amend my address in this
manner.
