So far, after a preliminary examination, I think there are three scenarios -- individually or together -- that could contribute to the 13 million increased shares.

1) Gordon's own sales (to private parties) in order to raise cash. We know that he sold 6,480,000 and has an additional 7,520,000 shares ready.

2) Private Placement issues. We expect (already have raised?) to raise 3 million in cash and 5 million additional in credit. This is my guess only: $3 million in cash at $ 0.35 would amount to 8.5 million shares. I'm not quite sure if the $5 million needs to be collateralized. I think the $5 million in credit would be structured in a different way. But some collateral is expected.

3) Gordon sold all his shares and is ready to dump the company.

Personally, because my previous conviction of the company's effort and intentions stands and because of the apparent logical explanation for the extra shares (the PP), I'm ruling out scenario #3. But that's only my opinion. You would have to decide for yourselves, of course.
