SWEBF Information Circular Solicitation Of Proxies dtd 15 April 1998

Annual Report

No mention of WebFiler, HMAPPS, CDWeb Publisher, two-fold missions, SoftQuad-Alpha synergies, NewKidCo....the future...nothing, except a GQ quality photo of the Selwyns. (note:Annual Report dtd 4-15-98)

The Rabins' just don't get it and the Board apparently has bought into this fiasco. We were optimistic and bullish on this company until yesterday pursuant to Steve Schneider's, CFOs comments regarding a reverse stock-split of which was further exacerbated by SoftQuad's Solicitation Of Proxies' Information Circular and Fiscal 1997 Annual Report....and when was the reverse stock-split going to be voted upon?...Did the Board of Directors surreptitiously float this [seemingly innocent and positive re: authorizing the continuance of the Company under the provisions of the Business Corporations Act (New Brunswick)] proxy for shareholder approval by mail whereupon at the Annual Meeting said reverse stock-split would fall under transacting such further and other business as may properly come before the meeting?

We will wait to see how things progress before we say anything definitive.
