Not a surprise. Was stated in full in 08/20/96 8-K re. AT&T sale
of Imagination Network to AOL.

Stated AT&T intent to sell the shares as soon as possible and
not later than Feb.

However, original deal, which is for shares equivalent to $14.5m
contemplated 362,500 shares. Due to drop of stock price AOL had
to issue 118,000 more shares to give AT&T $14.5m and pay interest
provided by deal.

BTW, there's over 6m share overhang of other stock issued/authorized
for acquisitions.
