GENERAL BUSINESS INFO: NXTC announced a signed agreement with a major pharmaceutical distributor to sell NexTech's products through pharmacies across the United States. NexTech will showcase these "next-generation" nutritional supplements on June 17 at the National Athletic Trainers Convention, in Baltimore.
The nutraceuticals business involves NexTech Healthcare and VitalPath Health Centers and seems to have rapid growth potential.
NexTech Enterprises International is a technology-based company with facilities in Westlake Village, CA and Newark, NJ. It produces and markets nutraceuticals, nutritional supplements, and over-the-counter pharmaceuticals, including its proprietary Keylation Solution, the world's only chelated mineral supplement available in liquid form and the only currently available non-invasive intracellular mineral test.
This gives NexTech the potential to both identify and treat mineral deficiencies. The mineral test has been used on a number of U.S. Space Shuttle missions to test the intracellular level of minerals. Some scientific studies have shown that there can be a positive correlation between the low levels of certain mineral content inside the cell and susceptibility of the person to certain diseases or conditions.
The Company also offers nutritional supplements including a proven memory enhancing supplement, and a supplement shown effective in preventing and retarding both prostate and breast cancer.
NexTech Enterprises International, Inc. differentiates itself from the many other supplement companies by building the business around unique rather than generic products. While most companies in this business market only generic products and compete on price alone, NexTech, through its joint venture in India and its business alliances in China, has direct access to raw ingredients, botanicals, supplements, and natural products. NexTech, unlike other companies, is in the enviable position of being able to control its ingredient supply, and does not have to rely on third party brokers.
Over the past year, NexTech Enterprises International has acquired all or part of five (5) companies, and currently has assets in excess of $14 million. NexTech also recently announced an agreement to purchase 70% of VitalPath Health Centers. The VitalPath acquisition is in progress.
NEXTECH HEALTHCARE - NexTech Healthcare is primarily a marketer of proprietary healthcare products. NexTech Healthcare has developed or obtained protected nutraceuticals (nutritional supplements), a mineral-status test and over-the-counter drugs.
ROSE COLOR INC - Rose Color is engaged in the manufacture and marketing of specialty organic dyes for the petroleum and plastics industries. Rose Color owns 80% of JBW and Rose Color also has a 49% interest in Mafatlal Rose Color Industries Ltd. Rose Color Inc has apparently been the primary subsidiary for revenue and profits. The prospects for this subsidiary continue to look favorable.
JBW INTERNATIONAL - JBW serves primarily as a consultant to companies involved with specialty organic dyes.
MAFATLAL ROSE COLOR INDUSTRIES LTD - Mafatlal Rose Color Industries Ltd. is a company in India that manufactures dyes for foreign sales.
SPS ALPHACHEM - SPS has international alliances that will allow importation of nutritional herbs and other botanicals, as well as fine chemicals for nutritional supplements and over-the-counter drugs.
NEW ACQUISITION: VITALPATH - On March 10, 1998, NXTC announced an agreement to purchase 70% of VitalPath Health Centers. VitalPath sells nutrition, nutraceutical, cosmetic, and other related products to consumers through up-scale kiosks located in affluent shopping malls. The purchase of this company provides a venue for the sale of NexTech nutraceutical products.
VitalPath has obtained the rights to place its kiosks in up to 44 shopping malls in the New England region. Each kiosk should gross between $750,000 and $1 million per year, with a 25% net profit. 1998 is expected to be a ramp-up year, with sales estimated to be about $3 million. 1999 sales are estimated at $10 million for VitalPath alone. Kiosks in other malls throughout the country are planned for late 1999. **********************************************************
OTHER INFORMATION: NXTC used to be traded under the symbol IMGI (International Image Inc). IMGI filed Chapter 11 Bankruptcy (Reorganization) in August 1997. The Reorganization Plan included a one for five reverse stock split and the issuance of common stock and warrants to the creditors in exchange for outstanding debt and accrued interest. Specifically, short-term advances to related parties in the amount of $206,512 and accrued interest in the amount of $7,249 were exchanged for 500,000 shares of common stock and warrants to purchase 2,000,000 and 1,000,000 shares of common stock (post split) at $3.50 and $4.50 per share, respectively.
After the Reorganization, IMGI agreed to sell its wholly owned subsidiary, Electronic Systems Engineering Co. and to acquire Healthcare, Rose Color and SPS by issuing 14.6 million shares of common stock.
After the transaction, the former owners of Healthcare then owned approximately 72% of the newly combined entities, so NexTech Healthcare is considered the surviving entity and the former owners of Healthcare now own about 72% or NexTech.
The new majority shareholders changed the name from International Imaging Inc (IMGI) to NexTech Enterprises Int'l (NXTC) around November 1997. **************************************************************

WHY I LIKE THIS COMPANY: 1. Very small float! 2. NXTC is ALREADY a reporting company with the SEC. 3. Business Plan looks logical and the time frame reasonable. 4. Current price is near 52-week low. 5. Projected 1999 Revenues of $10 million looks conservative to me. 6. Company has about $14 million is assets. 7. Book Value looks to be about 77› Per Share. 8. Company showed a profit for the quarter ended 12-31-97. 9. Warrants issued in 1997 have strike prices of $3.50 and $4.50. 10.
