ON TECHNOLOGY ACQUIRES CSD SOFTWARE GMBH

CAMBRIDGE, Mass., Jan. 28, 1997 -- ON Technology Corporation (Nasdaq:ONTC) today announced that it has acquired csd Software GmbH (CSD),Germany's leading supplier of PC Desktop Software Management tools. The acquisition, for cash and stock with an estimated value of $13 million, will be accounted for as a purchase.

Founded in 1986 and based in Starnberg near Munich, CSD has partnerships with Hewlett-Packard, Siemens-Nixdorf and Stream International. CSD has its products running on networks as small as 100 nodes and as large as 50,000 nodes (on Europe's largest PC network). Some of CSD's larger enterprise customers include Munich Reinsurance, Deutsche Telekom and Sparda-Bank.

CSD Software's INTEGRA product family provides an integrated set of
management tools that allows organizations to upgrade or install software applications, manage configurations, and do remote control on networked PCs running DOS, Windows, Windows 95 or Windows NT. Integra supports network servers running Unix, NetWare, or Windows NT, and networks running IP or IPX protocols. INTEGRA differentiates itself from other software management products by making it possible for the network administrator to upgrade the entire operating system on a PC.

"Our research indicated that CSD's products are the best in the world in this product category," said Christopher Risley, Chief Executive, ON Technology. "As part of our rapidly expanding network management business, we believe that the INTEGRA-SME tool will prove invaluable to thousands of network administrators who need to upgrade their users from Windows 3.1 or Windows 95 to Windows NT."

"CSD has built a substantial business but has never marketed its products outside of Germany," continued Risley. "Our customers around the world need this technology."

technology with ON Technology's sales, marketing and support organization," said Till von Ruexleben, Managing Director of CSD.

ON Technology expects to take a one-time charge for acquired incomplete research and development in the first quarter.
