The franchise is likely for a territory, so "transferring" it to another dealer likely means that the territory is consolidated with a nearby existing franchise.

Of course this dude would not be in any different shape if it happened under BK, where it would be perfectly legal. The problem for the government in all these deals is that indeed they might have numerous lawsuits on their hands shortly. Plenty of court cases have helped defined BK, but not so with the current tinkering.
