**Sept/Oct Q&A**
1. Has Hartcourt squared up with the IRS on past missing income tax returns?
2. Do you have anyone specifically appointed to taking care of the (required by the SEC) subs financial statements for the past two years?
3. A year ago there were roughly 90 million restricted shares outstanding, with all that has happened since then, can you give us a current count?
4. Is Hrct's current shareprice affecting the application for the other exchange in any way?
5. The million dollar profit figure, briefly talked about at the shareholders meeting, has been discussed here also...Is that number for 2004 or 2005?
6. When will Loyal shareholders receive free shares from Dr.Phan?
7. Can you explain in more detail, how Hrct will increase their profit margin by focusing on Small and medium sized businesses...What specific areas, software and products are you making available to them and how does Hrct seek to increase and expand in this area?
8. Would you please comment as to the recent "promotional tour" here in the States...One would expect some positive reaction as a result of management's effort , but in fact, none is maifest....Have you considered some direct support of our shares via share repurchase , promotional press releases , etc
9. Will there be a restatement of HRCT`s 10k due to the rescinding of the Zhong Nan deal?
10. Could you please add some quality / content on exactly what our working relationship is with IBM ? Pls. be specific.
11. Would you update us on some details of what Mr. Freidman (and team) are doing to earn their pay ? Pls. be specific.

I believe Hrct has stated in the past, they were the fifth largest IT distributor in China..With the streamlining and changes that are currently in the works, is Hrct concerned about where they stand compared to other IT distributors in China? Will the expansion of Challenger and the commercial group give Hrct a advantage over the competition for SME business?...If so, in what way?...
13. Since Hrct is moving away from the Ingram Micro/Digital China large scale distribution model (low profit margins), is there any business in China at this time that would be considered a direct competitor to Hrct's Commercial business?
14. Does the current number of outstanding shares create a advantage or a disadvantage, as Hrct will no doubt, wish to use more shares for future acquisitions? How do you view that amount with respect to the future growth plan?
15. What has been the biggest problem area for you since taking over as CEO...Has there been any pleasant surprises along the way?..Anything moving along better/faster than expected in the development of the business plan? |
