TCBG can still be a fully reporting company and Jon Darstadter's voting block could still hold a majority position at board meetings. If TCBG were on the Nasdaq market he wouldn't have to worry about voting himself raises because the stock appreciation from the move to the Nasdaq board would be such that a raise or bonus would look like a mere pittance.
