In addition to general business matters, the board of directors intends to place before the shareholders a resolution with respect to the asset acquisition agreement between the company and Bio-Fluorescent Technologies Inc which was announced in Stockwatch, February 11 1997. Both companies are moving forward with due diligence required under the agreement which would result in BFTI acquiring the assets of the company in exchange for approximately 9,000,000 shares of BFTI.
