You raised good questions. It is appears as if Zhone ran out of cash and is living off credit lines and short-term funding provided by executives (2 times 2 Mil in late July and Aug 2003). Plus, Telm may still have some contingent liabilities resulting from their employees.

I have looked at the numbers in the latest S-4 for Telm/Zhone a bit, but rather from a Telm perspective. Here is a brief summary, with some lightreading links on the Zhone history.
