Nobody seems to be responding to the meat of your question, Mike
I believe I speak for several when I say that I would like to see
an explanation of this compensation package that does not include
its being a hindrance on the appreciation of the perceived value
of the stock. If the compensation plan works as it appears to per
your explanation, then institutions would realize that the stock
was "running with ankle weights" and would value it accordingly
less in terms of its appreciation potential. Bill is a smart guy,
he's gotten us this far, he wouldn't really limit the potential of
the company that way would he?

Are there alternate explanations? Given some "probable scenarios"
for IA's future growth, which way would Bill S. make
more money, with this compensation package or with a more
traditional one?

The question may really be: Does this stock still have the chance
for 2x, 3x, 10x from here in 1-2 yrs or does this compensation
package (if passed) limit us to 1.5x, waiting for solid earnings, or something worse?

What if we get bought out a month after the stockholders
meeting - is this just Bills way of making sure he gets his for
all the visionary work he's done? If this is the reason (and it's
pretty farfetched) then I'd say "good work Bill and enjoy that
bonus since you got us bought at 63.5" (or better I hope)

Wish I had more answers than questions,
