THK has hired an investment bank to explore "strategic opportunities." Good move. Because it lacks a singular focus, this has been a difficult company to evaluate. Many of the acquisitions have struck me as having been made for opportunistic reasons, as opposed to strategic, and the myriad contingent payments have made it difficult to get a handle on the cap table. I do feel, however, that it has acquired some pieces that have real value. It will be interesting to see how this plays out.

Think Partnership Announces Review of Strategic Opportunities

Thursday July 26, 5:02 pm ET

CLEARWATER, Fla.--(BUSINESS WIRE)--Think Partnership Inc. (AMEX:THK - News), an international leader in interactive performance-based marketing and related Internet technologies, announced today that its Board of Directors has authorized management and its advisors to explore a range of strategic opportunities intended to maximize shareholder value. Roth Capital Partners LLC ("Roth") is acting as financial advisor to the Company.

Scott P. Mitchell, president and chief executive officer of the Company, said, "The ongoing trends in the marketplace have caused us to believe that certain components of our business, particularly in our Network Division, have been undervalued to such an extent that we feel it is in our shareholders' best interest to evaluate approaches that may unlock this hidden value." Mitchell added, "We believe that engaging Roth Capital will help ensure a thorough analysis of our opportunities while allowing our management team to focus on Company operations and growth."

The Company's management team will work with its financial advisors to evaluate the full range of the Company's strategic opportunities and identify the course of action it believes is in the best interests of all its shareholders.

Think Partnership operates under three divisions:

Think Direct: Online lead generation and direct marketing of consumer loyalty products and services including online "life-stage niche" marketing targeting the expected parent demographic and the marketing of home based business opportunities, social networking, and other related services.

Think Network: Online advertising network of affiliate, search, and ROI driven ad exchange services including proprietary technologies such as ValidClick, the Company's patent-pending click fraud prevention solution; KowaBunga!, the Company's online affiliate marketing platform; and SecondBite, the Company's patent-pending revenue recovery technology.

Think Advertising: Hybrid off-line/online advertising agency that provides branding, collateral advertising, public relations, television advertising, and radio advertising services as well as interactive advertising services such as sear engine optimization, online branding, and paid search management.

In making the announcement, the Company stated there can be no assurance that the exploration of strategic opportunities will result in any type of transaction. The Company undertakes no obligation to make any further announcements regarding the exploration of strategic opportunities.
