respect to a non-brokered private placement announced Feb. 9, 2001:

Purchase price: 35 cents per share
Warrants: 160,000 non-transferable share purchase warrants to
purchase 160,000 shares
Exercise price: 40 cents until May 12, 2002
Placees: One placee
Note that in certain circumstances the exchange may later extend the expiry
