A Question for Mr. Price, In a News Release of September 5, 1996
by Consolidated Dencam Development Corp. N.P. Energy Corp is sited.

I quote the part about NPEC, All I want you to do is tell me what they are
saying about the last 9 words, as it sounds like NPEC is a part of Palace
Explorations Inc. (now if this has changed please show Mr. Keba in the
corp. records where it was changed and on what date).

The News Release Reads:

The property is subject to a joint venture agreement between the company
(CONSOLIDATED DENCAM DEVELOPMENT CORP) and PALACE EXPLORATIONS INC. (PEX-ME).
(now with a new name) Dencam can earn 50% of the Palaces interest in the
property by paying Palace $100,000.00 USD and funding 60% of exploration
expenditures on the property. The property also subject to the 20% interest of
N.P. Energy Corporation (A US COMPANY AT ARM'S LENGTH TO THE COMPANY).

On behalf of the board of directors.

"LAARA SHAFFER"

DIRECTOR

So what is this about NPEC operating as a CORP. AT ARM'S LENGTH TO PALACE
EXPLORATIONS INC.?

THANK YOU,

JNelson
