Microcap & Penny Stocks : What a NUT!

Here's what of interest to me.

CBHI is going to be merged into NUT. There is probably a good reason for this. What is appealing about CBHI is that (from my understanding -- please correct me if I am wrong) 2 shares of NUT will be provided for every 3 share of CHBI. So if NUT is at 4, the current price for CBHI should be at 2.66.

Both are safe stocks in that they will not be burning cash, yet sit around book value. NUT pays a dividend. It seems to me that it is better to buy CBHI and hold on until they are converted to NUT shares. Is this a correct judgement?
