Equilink Will Offer to Purchase Calton for $24.2 Mln

New York, May 14 (Bloomberg) -- Equilink Capital Partners LLC said it will offer to buy all of the shares outstanding of Calton Inc. for $5.50 each in cash, six percent more than Friday's closing price.

Equilink will offer to buy 4.4 million shares and options outstanding of the provider of management services to information technology companies for $24.2 million in cash.

Equilink, a closely held equity firm, said it is concerned about Calton's investments and loans to Internet companies that haven't been advantageous to investors. New York-based Equilink has been in correspondence with Calton since April 19 about acquiring the Vero Beach, Florida-based company, Equilink spokesman Robert Depalo said.

Calton Chairman Anthony J. Caldarone said in a statement that the board will review the offer, which ``appears to be considerably less than the per share cash value of the company and significantly below the company's book value.'' Calton wouldn't comment further.

Equilink holds less than 5 percent of Calton's shares outstanding, Depalo said. Calton, whose shares have fallen 39 percent in the past year, has 10 days to respond to Equilink's offer. The shares of Calton didn't open for trading today on the American Stock Exchange. They closed at $5.15 on Friday.
