Puma Technology, Inc. and ProxiNet, Inc. Sign Letter
of Intent to Merge

SAN JOSE, Calif., Aug. 8 /PRNewswire/ -- Puma Technology, Inc. (Nasdaq: PUMA - news) today announced that it has
signed a letter of intent to merge ProxiNet, Inc. (``ProxiNet') into Puma Technology's operations in consideration of an
undisclosed number of shares of Puma common stock. ProxiNet is a privately held Internet application development firm based
in Emeryville, Calif. ProxiNet's technology enables accelerated Web and intranet access by handheld computing devices
through a highly scalable ``smart' proxy-based architecture.

The closing of the merger is subject to certain conditions, including the satisfactory completion of due diligence and execution of
a definitive agreement. The parties expect that the transaction will be accounted for a purchase. The letter of intent has an
expiration date of August 22, 1999. The parties do not intend to disclose any additional details of the transaction until after
closing.

Bradley A. Rowe, Puma Technology President and CEO, stated, ``The merger of Puma and ProxiNet will signal an important
step in adapting the handheld industry for mainstream consumer usage. By combining our respective technologies and
knowledge, we plan to address e-commerce and wireless Internet access in new and innovative ways. We are very focused on
completing this acquisition by the end of this month, so that we can combine efforts to enter this rapidly evolving marketplace.'

About ProxiNet, Inc.

ProxiNet's innovative technologies enable full and immediate access to Web content and corporate data from handheld devices
anytime, anywhere. Its highly scalable ProxiWare(TM) system provides individuals and organizations with secure, graphical and
real-time access to existing, unmodified Web content from a variety of handheld devices. ProxiWeb, ProxiNet's flagship
service, is built on the company's ProxiWare(TM) architecture. A highly-scalable and intelligent middleware solution,
ProxiWare is the combination of ProxiNet's proprietary Smart Delivery System (SDS) and cluster computing, both of which
were developed out of the DARPA*-funded BARWAN (Bay Area Remote Wireless Access Network) research project at
the University of California, Berkeley. The SDS instantly reformats Web content, including graphics and text, optimizing it for
instant delivery to any handheld computing device, including PDAs, such as the Palm Computing Platform, computers powered
by Microsoft Windows CE and smart phones. Recognizing the constraints imposed upon narrow-bandwidth connections, SDS
minimizes the amount of traffic transmitted to optimize and significantly increase the speed of delivery. ProxiWare technology is
constructed on a three-part architecture, consisting of an ultra thin client, proxy server software and a unique set of application
building blocks. Robust and highly scalable, ProxiWare is extensible, flexible and fully parameterized to support any information
appliance. The ProxiWare solution is generally available to Internet Service Providers (ISPs), content providers, hardware
manufacturers, enterprise software vendors and Fortune 500 companies. Partnerships with wireless modem manufacturers
Novatel and Metricom, separately, ensure that these popular wireless modem packages offer users the benefit of receiving a
free ProxiWeb trial with every modem shipped. PDA and handheld device owners can currently download ProxiWeb at no
cost from the ProxiNet Web site, www.proxinet.com.
