Happy Monday morning,

TJ?

My end of the to day wrt to the Qurate Business model...

There is simply no way to know what levers exist in the footnotes aka fine print.

Then

There is the interpretations of at least 6 SEAL Teams of $1,000/hour consultants to consider.

AND

THEN

there are the tax issues...

I do not have a clue wrt the tax issues.

I do believe the extensive work you have very generously provided is a lot closer to the mark.

I did ask Gemini the following and include Gemini's answer...

I could not think of a case of non BK stop cancelation and reissue...but...it is NOT my playground.

A thought expressed on Seeking Alpha, TJ might have mentioned it...
Too many execs have been issued stock incentives to hit the BK button.
I don't buy into this...

Me to Gemini

<<<In a corporate debt restructure does a publicly traded company need to declare bankruptcy to cancel existing shares of stock and reissue new stock?>>>

Gemini's answer...
<<<No, a publicly traded company does not necessarily have to declare bankruptcy to cancel existing stock and issue new stock, but it's the most common and definitive way this occurs during a debt restructure. A company can pursue an out-of-court restructuring, but this is often more difficult and has limitations.>>>

I come down on the get the side of get the restructure done ASAP BEFORE Q4.

Drop the ball in Q4?

EVERYBODY

Loses.

It doesn't matter what your FCF flow projection is.
Cut it 50%
The ship sinks.

The Tax issue will be resolved by the Suits then probably argued later with the IRS.
A case of get it done then ask forgiveness?
Sort of.

We shall see...

Cheers,
60
