Mike,

That is correct. Say you own 1000 shares of PNRL. You now will recieve
$10 * 1,000 or $10k worth of BAY stock which right now is 27. So $10k/$27
is how many shares you recieve (I think all this happens in September when
the deal is final, so whatever the price of BAY is on the 'last day'.)

You also recieve 1000 shares of Access Beyond, price TBD by market, which right
now would be $13.50 - $10, or $3.50/share.

Not a bad deal since BAY stock is low right now. Also, Access Beyond is a great product, and I
hope to buy more when it gets spun off as its own company in the Fall (sep).
