What's to stop an aggressive accounting team from setting up a corporation for the purpose of paying out tax free dividends? IE X (who recently made $100 million in capital gains) has sets up corp Y by selling $100 million worth of stock(to himself) which immediately pays out $100 million in dividends. Y is now a worthless corp leaving the purchaser of its stock with a $100 million tax loss and $100 million in tax free earnings. Net result, never pay taxes on capital gains or dividends.
