Fisher Scientific Prices Offering of $250 Million of 2.5 Percent Convertible Notes Business Wire ~ July 1, 2003 ~ 9:27 am EST
HAMPTON, N.H.--(BUSINESS WIRE)--July 1, 2003--Fisher Scientific International Inc. (NYSE: FSH) has priced the private placement of $250 million of 2.5 percent convertible senior unsecured notes due 2023. The notes will be convertible into Fisher common stock at a conversion price of $47.46 per share, subject to adjustment in certain circumstances. The initial conversion price represents a 36 percent premium over the closing bid price of Fisher common stock on June 30, 2003, which was $34.90 per share. The company has also granted the initial purchasers of the notes a 30-day option to purchase up to an additional $50 million in principal amount of the notes.
The private placement is expected to close on July 7, 2003, subject to customary closing conditions.
The notes will be offered in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933. The notes have not been registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements.
