The VSE has accepted, in principle, subjectÿ toÿ shareholderÿ approval,ÿ an agreementÿ datedÿ Dec.ÿ 10,ÿ 1996, and amended Dec. 10, 1997, whereby AmCan Minerals can acquire all of the shares ofÿ Armsecÿ Internationalÿ fromÿ the vendors,ÿ Michauÿ M.ÿ Huisamen, Simon M. Witherspoon, Johann F. Verster and Stuart Macdonald. Consideration consists of issuance to theÿ vendorsÿ ofÿ 8 millionÿ sharesÿ of AmCan within 15 days of final receipt of VSE acceptance
for filing of the transaction.
