In August 1996, the Company entered into an agreement with Shamrock Partners, Ltd. ("Shamrock"), an investment banking firm. Shamrock will provide financial consulting services and advice for a term of one year. In exchange, the Company will grant Shamrock an option to purchase 600,000 share of Common Stock during the five year period beginning August 15, 1996 at an exercise price of $2.50 per share.
