Boreal is Negotiating With an Internet Company

MONTREAL, QUEBEC--Boreal Exploration Inc. ("Boreal") is pleased to
announce that it has undertaken negotiations concerning a merger
project with a private company from Quebec providing software and
Internet online services.

The parties are negotiating a merger between the two companies,
subject to terms to be determined by an independent evaluation.

In the event that an agreement is reached, the transaction would
be considered as a reverse takeover according to Montreal Stock
Exchange regulations.

As for Boreal's mining assets, they will be transferred to a
subsidiary company, whose shares will be distributed to current
Boreal shareholders before the merger takes place. This
subsidiary will take the necessary steps to have these new shares
listed on a Canadian Stock Exchange.

All upcoming agreements resulting from the present negotiations
are subject to the approval of the board of directors and the
shareholders of the two companies, as well as regulatory
authorities.

Further developments will be released as soon as possible.
