This just looks like the regular filing for stock option
grants that S3 has to make every year.

For the last couple of years S3 has granted between
1.5 and 3 million options every year. I don't know if
this document represents all of the grants for this
year but if it does then it is at the low end of the
historical average.

Last time I checked, there were over 7 million options
that were outstanding (both in and out of the money).
This is typical of fast growing tech companies of that
size and tech companies that went public within the
last couple of years.
