Food Concepts sets merger

JERSEY CITY, N.J., Oct 2 (Reuter) - Food Concepts Inc said Thursday it had signed a $250,000 deal to acquire a medical holding company in exchange for a controlling interest in Food Concepts.

Food Concepts said in a statement it had signed a definitive letter of intent with Tri-Star Medical Group Inc to acquire Tri-Star's outstanding stock in exchange for a majority stake in Food Concepts.

Food Concepts will take on the name of the holding company and spin off its coffee business to its shareholders in about a month, an official of the gourmet coffee distributor said.

Food Concepts stock was 0.0075 higher at 0.0625 in early trading. The price was near its year low of 0.0385.

Tri-Star has interests in various medical providers and advanced medical diagnostic services and equipment.
