Company Summary:

AlphaTrade.com, will be able to provide a turnkey, cost-effective, Internet based, financial information system and on-line trading solutions to financial services companies and brokerage firms through a series of private labeled products.

The Company intends to exploit the explosive on-line financial services market through a unique subscriber aggregation strategy. The strategy focuses on private labeling the Company's turnkey Internet products to established brokerage and other financial services firms which currently offer no or inadequate on-line financial information and trading tools. The AlphaTrade.com portal will incorporate unique, intuitive trading interfaces to the top online brokerages providing a "one-stop" shopping environment.

This unique business model allows the Company to take advantage of existing brand recognition and loyalties already established between the brokerage firms and their clients, providing a unique vehicle to become one of the fastest growing financial portals on the web.

Market Summary:

There are 5,500 brokerage firms located in the US, and only 78 are currently offering on-line trading. The remaining firms are searching for direction and solutions. Most brokerage firms are just now recognizing that to ignore the on-line aspects of their business would result in the ultimate loss of a significant share of their clients to on-line competition.

The Company has purchased and will finish the development of a suite of products to address this market opportunity. The company's systems will allow Brokerage Firms to offer premium investment information and services to their clients via the Internet. Investors will be able to monitor investments in real-time through our customizable portfolio tracker, research investment opportunities, watch live video, view streaming financial data and execute trades all within their browser.

The alternative to AlphaTrade.com's private label program would be expensive, for both the initial development ($2 million to $5 million) and the on going monthly content and maintenance ($150,000 to $250,000 per month). The estimated time to complete a comparable system would be approximately 8 to 12 months not including the on-line trading systems. The advertising and transaction based revenue model, which we will employ, would allow us to offer these systems to the brokerage firms at a very attractive price point and will enable AlphaTrade.com to build a large subscriber/user base at an accelerated rate.

Products:

AlphaTrade.com will be the first turnkey Internet based financial information system and on-line trading solution offered to financial services companies on a private labeled basis. The product will combine state of the art web delivery technologies, sophisticated on-line trading technologies, and "specialty" investment content from premier data feed providers. The Company will be negotiating agreements with the following content providers: Reuters, The American Exchange, The Canadian Exchange Group, NASDAQ/OTCBB, NYSE, Bridge Financial, Standard and Poor's, Edgar Online, Morningstar, Zacks and Market Guide.

The Company's Private Label Products (PLP) will offer a wide selection of components, which include:
Branded analytical tools, applications and functions

Technologies:

The company has purchased and is developing unique, lightweight (10k or less) Java based components/applets which allow the user to view streaming, data within their browser, without downloading large, cumbersome applications. These components are true "web to desktop" convergence technologies. They are moveable within the browser window and the user can also float them off the browser and onto the desktop. The components include the following; Tick by tick charting, streaming quotes, dynamic portfolio management, TV broadcasts, Level II and inside quotes and newsreaders.

Trading Platforms:

The AlphaTrade.com portal will serve as a gateway for multiple online trading platforms. An online trading platform is the trading station where retail investors can execute investment transactions in real-time through their established personal trading accounts.

The trading modules will include various sophisticated client front ends in either stand-alone or web based versions. The modules cater to a range of investor and trader needs covering everything from trade advice, streaming tickers and automatic ordering/execution to position monitoring and portfolio management.

WebSprite:

WebSprite, purchased by AlphaTrade.com, is an Award winning "pull" technology software, known also as an "intelligent agent". This sophisticated, intelligent agent automatically retrieves user selected information from the AlphaTradeâ„¢ Web portal and seamlessly delivers it to the user's Desktop via the Internet. WebSprite appears on the desktop in a smooth customizable scrolling ticker format and is updated at intervals predetermined by the user.

WebSprite operates independently of the user's Web browser of choice, further complementing the move toward customization and personalization of the channels of information that users wish to see via the AlphaTrade.com Web portal.

WebSprite effectively transfers channels of information, ranging from news to stock quotes to sports and financial analysis, at prescribed times in accordance with user specifications rather than program content. Information ranging from portfolio performance, news, indices, and percentage gainers and losers, to sports, weather and daily horoscope are but several of the numerous information channels available to the user in an easy to customize Desktop wizard.

WebSprite is a natural add-on that complements the AlphaTrade.com web site. Available free of charge to users as a downloadable application, WebSprite is ideal for the delivery of information to the individual investor. In real-time subscription applications, WebSprite permits the day trader or investment professional to track important data even when working in another PC application.

REUTERS:

AlphaTrade.com's commitment to distributing data and information obtained solely from industry leading purveyors such as Reuters will ensure brand recognition and the highest quality of information and data services.

AlphaTrade.com, through a strategic acquisition of technology, will be the first organization in the world to initiate the delivery of the Reuters Triarch 2000 market data via the Internet. This arrangement will mark the first public Internet delivery of market information from Reuters from the Triarch 2000 architecture.

Reuters is the market leader for data distribution to the institutional financial markets. The AlphaTrade.com product is designed to leverage the Internet to empower the end user with financial data and information traditionally exclusive to trading floors and full service brokers.

It will be a fully customizable system, enabling investors to establish their own data preferences and screen displays ALT's business model also extended beyond the Internet to include corporate Intranets. ALT's team will implement controls that can facilitate the distribution of the ALT designed software to third party organizations wishing to deploy data and information via the same Triarch 2000 Platform.

The AlphaTrade.com software application will extend the capability of Reuters' Triarch 2000 market delivery system to distribute dynamically updating information over the Internet in a secure environment.
