IMHO, CMGI investor can get 3-5 IPO shares for every 100 CMGI shares he/she owned.

Do the math, CMGI said that it will allocate 5-10% of majority-owned companies to CMGI shareholders. Since CPTH has 35M shares outstanding, SILK has 35M, so let's assume the new company has 20M shares, 10% of them gets you 2M shares. While CMGI has 95M shares outstanding, theoritically, CMGI investor can get 2 IPO shares for every 95 CMGI shares. Since DW will not compete with us ( he owns around 20% of CMGI ), and considering some investors are living outside US, 3-5 shares is a good guess. Anyway, your guess is as good as mine.

should be able to get IPO share after it is fairly priced, should be no holding restriction, no broker restriction.

CMGI will contact you thru your broker, after that you decide to participate or not.

These are just my guess.
