Regarding the 1.2 million warrants held by Tom Geimer.

I called Tom yesterday and talked to him about his warrants. For his warrants, although I did not ask about other insiders, there is nothing magic about 6/18 or any other date. They have been exercisable for years now. Tom specifically said to me that he could NOT afford the taxes if he were to exercise those warrants. Secondly, they are restricted. Even if he did exercise them he could not sell - and here I think I recall him saying they were restricted for 2 years but am not sure. I am confused about the statement that they MUST be exercised by end 97. Tom said also that the only way he would exercise those warrants would be in a tax free exchange.

Tom has worked years to build the company, some of them without pay, and has personally guaranteed the debt at times. I have a hard time believing he would do anything to jeoperdize his company like dump stock. But that is my impression.

We also spoke about the future and how optimistic he was. I share his enthusiasm. Remeber Accelr8 is not just a Y2K company. They are basically a DEC migration tool set maker helping customers get off VMS and on to UNIX and soon NT. That is where the strenght of this company lies - not in the next 3-6 months. The Y2K work they do wil be nice for the revenue stream and hopefully serve as the starting point for building a long term relationship with the customer.
