I know that the Sept. registration was options-related. MSDW is only a possibility, as they did the execution that time and may have some ties to USWC since.
  However, the initial S-3 (the 'shelf') does not mention an underwriter, nor do the news. Usually, other shelves mention an underwriter, or at least contain an initial, to be completed "Underwriting" Section which is missing here. Hence, it is not very likely that they plan to use one.
  Per now they have none. They did the shelf by themselves.
 
  Any  underwriting  compensation  which we pay to underwriters or agents in connection  with the offering of securities  and any  discounts,  concessions or commissions  allowed by underwriters to participating  dealers will be set forth in the prospectus supplement.  Underwriters, dealers and agents participating in the distribution of the securities may be deemed to be "underwriters" within the meaning of the  Securities  Act, and any discounts and  commissions  received by them and any profit  realized by them on resale of the  securities may be deemed to be underwriting discounts and commissions under the Securities Act.
        If any [or] underwriters are utilized in the sale of the securities, we will execute  an   underwriting   agreement  or  a  purchase   agreement  with  those underwriters at the time an agreement for the sale is reached.  The underwriting agreement  or  purchase  agreement  will  provide  that the  obligations  of the underwriters  are  subject  to  certain   conditions   precedent  and  that  the underwriters  with respect to a sale of securities will be obligated to purchase all  such  securities  if any are  purchased.  In  connection  with  the sale of securities,  underwriters may be deemed to have received compensation from us in the  form  of  underwriting  discounts  or  commissions  and  may  also  receive commissions  from  purchasers  of  securities  for whom  they may act as  agent. |
