Mozek, I had the same questions. So I called Lisa at CREAF IR and she talked to her boss about the deal.

Basicly, it was SEI who wanted the stock deal but CREAF also gets some benefits. It is really a merger or pooling of interests, she said. That way, neither has tax liabilities and CREAF doesn't have to do another goodwill write-off like the previous purchases.

SEI now has restricted CREAF shares which they must feel will be worth a lot more in the future. I imagine they saw this as a better way to realize the future value of their own company. It also gives them an incentive to stay and do good work for CREAF.

She knows that shareholders like me are anxious for a buy back and CREAF is now pushing Singapore to try to give them a date when they will get authority. And she said they are aware of some shareholders desire to increase the buy back to at least cover the new shares.

If only those bureaucratic morons in Singapore would get off their duffs...
