I am in the business so I know what the market is; however, you really don't even need to be in the business to see something like this that is so incredibly obvious. You just need to give it a little bit of thought and use your common sense. Please answer this question: Do you REALLY think that an experience investor would tie their hands and buy restricted stock (that they can't sell on the open market for 6 months) for a measly 12% discount; when the stock has just steadily DECLINED BY 35% (from $0.57 to $0.35)in the 30 days preceding the agreement date? Of course not. With that trend, they would end up under water in 10 days with restricted stock. Only an incredibly incompetent and slightly retarded investor would do this. I think you can see the point. The other major clue is that there was no attempt to even execute the SPA and make the first transfer, even though it was signed and called out a 3 day schedule.
