Regarding execs. that know of over/undervaluation - I believe that too. Look at the heavy insider selling in Oxford Health in the late summer in the 70's by nearly everyone. It is in teen's now.

Regarding buybucks to offset dilution. I understand your point but...KLA bought back some stock earlier in summer at a much higher price. In think it is more of an issue of timing than valuation. To counter this, MSFT recently DIDN'T buyback for the first time to offset their ESOP with the CFO claiming "the stock is too expensive." Of course MSFT has probably doubled again since that time!

Net-Net: ESOP-related buybacks are non-events, IMO (except for the braindeads that fail to read deeper than the headline).
