Company Will Provide Document Conversion Services to Department of Defense And Federal Executive Agencies
San Antonio, Texas - February 5, 2004 - Docucon Imaging Services, Inc., a leading provider of document conversion services to federal, state, and local government agencies, announced today that is has been selected by the Document Automation & Production Service (DAPS) to provide a wide variety of document conversion services to the federal government over the next 3 years.
The Document Automation & Production Service, a field activity of the Defense Logistics Agency (DLA), is responsible for document automation and printing within the Department of Defense and the Federal Executive Branch Agencies, encompassing electronic conversion, records/document management, retrieval, output and distribution of digital and hardcopy information.
Docucon will be DAPS primary vendor for outsourced document conversion services throughout the United States and OCONUS during the term of the Agreement and will be responsible for converting documents which currently exist as paper, microfilm, and microfiche, to a wide variety of digital electronic formats including raster, PDF, SGML, XML, and HTML.

Technology-based initiatives in the Department of Defense have flourished for a number of years. Our involvement with the DoD began in 1986. Since that time, we have been performing a wide variety of document conversion services for DoD agencies, including; the US Navy, US Air Force, US Army, US Marine Corp., Defense Logistics Agency (DLA), and Document Automation Production Services (DAPS).
Early in our relationship Docucon engineers worked closely with representatives of the DoD, in the production of prototype data for testing and specification usability and completeness. This process of creating data, testing and revision, led to the initial set of specifications that were used to produce the first large-scale repositories of digital data. Those specifications are still in use by the DoD and are the basis for the de-facto standards currently in use by everyone.
From that initial effort through today, Docucon has converted more than 40 million engineering drawings, and over 30 million pages of Technical Manuals/Orders to numerous output formats such as SGML and XML.
And we continue to add to these totals every day.

Pending Merger soon?: On May 30, 2003, Docucon, Incorporated, a Delaware corporation (the “Registrant”) entered into a non-binding letter of intent (“LOI”) with I.L. Products, Inc., a Texas corporation, doing business as GrayStone Mortgage (“GrayStone”).
GrayStone is a San Antonio, Texas-based post-secondary education company that provides professional development training in real estate, business development, and financial management. GrayStone’s website address is www.paperbiz.com.
The LOI proposes a corporate combination between the Registrant and GrayStone whereby Graystone will become a wholly-owned subsidiary of the Registrant (the “Transaction”). The Transaction may be effectuated by merger, acquisition, or other method of combination, the specifics of which will be determined during the negotiations of the definitive Transaction agreement.
The LOI contains the following principal concepts:
1. as consideration for the corporate combination, John Alexander, the sole shareholder of GrayStone, will receive 93.75% of the Registrant’s $0.01 par value common stock, in the form of preferred shares of the Registrant;
2. the Registrant’s board of directors will be composed of no more than seven directors, which directors will be divided into three classes with staggered three-year terms;
3. Robert Schwartz, President, Chief Executive Officer, and a director of the Registrant, will continue as a director of the Registrant after the Transaction, and will receive 0.5% of the total common stock retained by the Registrant’s shareholders after the Transaction as payment for service performed for the Registrant prior to the Transaction, as well as for services as a director of the Registrant after the Transaction; and
4. all costs of the Transaction will be advanced by GrayStone and will be a debt of the Registrant due and payable on GrayStone’s demand. |
