My guess, based on what has been reported on this board and AOL,is that the priority was to get the reverse done first, then complete the deal with Tristar Medical, and later, spin off the coffee company to the shareholders at that time. That way, Tristar Medical becomes a publicly traded company, and the shareholders of the original JAVA are given shares in the coffee company for free. Also, I suspect that TriStar Medical is worth a lot more than than the reported purchase price in this deal. We'll see.
