JS: My recommendation is to incorporate in your state. You NEVER want to go into a business venture in an unincorporated condition due to the exposure it gives your personal estate and due to the tax advantages. You should also look at Sub-S versus C-Corp election after incorporation regarding the tax consequences.

After registering your corporate name, no one can "steal" your name, but if the name was already copyrighted at the federal level, they have dibs, I believe. I'm not an attny. obviously, but have a good friend here in Houston, Don Gunn, who is a patent attny. (713-850-9922) He can advise you as to how you can protect your company name, if you wish, by trademarking it in the USA and internationally.
