Russ: Regarding the merger possibilities, this is far from a sure
thing. Consider, at this time the industry has too much capacity
for all the competition and secondly, you have to consider all of
Rollins's sites as potential liabilities simply because they have
been involved in haz. waste destruction so it's not easy to unload
a property for other uses. Now Rollins is heavily regulated and as
a company we make great efforts in tracking and disposing of wastes
in an acceptable manner (unlike some less regulated businesses like
cement kilns and haz wastes producers).

We have been through some big cutbacks and reorganizations which have
also had a negative impact on earnings and now are trying to come
together and get back in the black. During these cutbacks, we have
not lost any capacity. We still have 5 incinerators, 2 repacking/bulking
facilities and some 25 or so field offices. RES has shifted it's focus
from the large producers (which there are far less now) to small customers
who require more specialized services with the DOT and EPA requlations.
