Doing DD on a $2B corporation and reaching a "signed, sealed and delivered" agreement within a couple months is unlikely.

I beg to differ, if you look at the FORE and XYLN acquisitions once the change was made from "talking" to "negotiating" it took less than two months to develop a tentative agreement. Much of the DD took place after agreement, with the acquiring company verifying the information that the target company had provided, with the established caveat that should there be significant variances that the deal would be renegotiated or called off. In general, the real DD on any deal like this takes place after a conceptual agreement to acquire has been reached.
