I really doubt Ive (or any designer/engineer) is sitting in meetings debating whether a buyback or this preferred stock idea is the right route to go. The board (who is otherwise worthless), Cook, and some finance guys will make the decision. The only person where it is even arguable that they might be better used elsewhere is Cook.
