First South American Distributor Signs Non-Disclosure
ALYA Prepares for Las Vegas Trade Show

ALYA International Inc. PALO ALTO, Calif.--March 10, 1998--The company has received a signed non-disclosure agreement with Codas Electronica S.A. (''Codas'') of Argentina, representing the company's first relationship in South America.
The two companies will be meeting at the upcoming ISC EXPO/Las Vegas '98 security trade show from March 23-26, 1998 to further develop this relationship with the goal to Codas becoming a distributor for ALYA's Advanced Security Management System.
Codas Electronica S.A. is a 14 year old company, and for 12 years has provided technical support for Motorola SPS (microcontrollers, microprocessors, memory, power, etc.) and they have developed several development tools for Motorola microcontrollers (HC05, HC11, etc.). Coda also provides technical support for Echelon and Motorola/Indala products in Argentina and Brazil.
ISC EXPO/Las Vegas '98 will be held at the Las Vegas Convention Center, Las Vegas, Nevada. This will be the largest ISC EXPO to date with an expected 450+ exhibitors in 115,000 square feet of displays. Products on display will include state-of-the-art security equipment and services, with technologies running the gamut from the newest in access control and security hardware to integrated systems and home automation. Three pavilions will be featured: CCTV, Security Hardware, and Home Systems. ALYA will be meeting with Codas and other potential distributors and strategic partners at this show.
The company's Annual General Meeting of shareholders will be held at its wholly owned subsidiary's Canadian office at: Alya Systems Inc., 111 - 17 Fawcett Road Coquitlam, British Columbia Canada, V3K 6V2., a suburb of Vancouver, on March 20, 1998 at 3:00 P.M.
This location is ALYA's Research and Development facility and is approximately 6,100 square feet split between two floors. The top floor has two areas including eight work stations for software and hardware engineers, an office with two work stations for lead engineers, a conference room used to test and demonstrate the security system, a training center and a bathroom area. The first floor has an entrance/reception area and two areas that each contain four work stations. The first area is used by engineers and the second area supports administration and technical support. There is also an office that has one work station and a warehouse area for assembly, prototype development and testing.
ALYA International, Inc., the parent and public company, was incorporated on September 23, 1996 for the purposes of implementing the marketing and operational plan of the company on an international basis. The office located at 348-2465 E. Bayshore Road., Palo Alto, California, 94303 was chosen for its proximity to our strategic partner Motorola Indala Division and others, as well as the fact that the facility could accommodate ALYA's expansion rate in developing marketing, management and corporate finance. This office location is the Embarcadero Corporate Center, where Executive Suites are available for sublease, reception and secretarial services. The office package can be upgraded to include a furnished executive office suite as required. The company is maintaining fiscal responsibility and will not expand this office facility until necessary.
