Boeing finalizes McDonnell Douglas merger

Friday August 1 12:51 AM EDT

SEATTLE, July 31 (Reuter) - Boeing Co (BA). said it filed documents to complete its $16.3 billion merger with McDonnell Douglas Corp (MD). effective 12:01 a.m. EDT Friday.

The all-stock deal, which creates the world's largest aerospace company, was completed seven months after it was announced and one day after the European Commission formally approved it.

The EC had given tentative approval last week after a drawn-out battle that brought the United States and the European Union to the brink of a trade war. In response to European demands Boeing made several concessions intended to prevent it from abusing its increased dominance of world markets.

Boeing has scheduled employee rallies for Monday at its plants across the country, including St. Louis and southern California, where most of the former McDonnell Douglas facilities are located, and Seattle, where the company is based.

McDonnell Douglas stock ceased to be traded on the New York Stock Exchange at the end of business Thursday. Shareholders will receive 1.3 shares of Boeing for each share of McDonnell Douglas stock they own.
