Hi Eric: Regarding "quiet period" and "blackout period".

I have not been able to find a solid reference from the SEC on this issue as it pertains to the earnings reporting period. There is a reference to a "quiet period" for IPO's that is covered under Rule 134, but I haven't found the other references of interest.

The "quiet period" as it relates to earnings may be self-imposed by each company, but I'm not sure about that. Here is an example of one company's policy:

Seagate enters a quiet period on the fifteenth day of the third month every quarter until financial results are released. All Seagate employees are subject to a blackout period for trading Seagate Stock. This period begins on the first day of the third month each quarter, lasting until 48 hours after financial results have been released.
